# UWdeVST Proprietary Public-Source License v1.0 Effective date: 31 August 2026 Copyright (c) 2026 Unicorn Who Dev. All rights reserved. This is a proprietary public-source license. The Source Code is made publicly viewable for transparency and learning, but no rights are granted except those stated expressly below. This custom license should be reviewed by qualified legal counsel before it is relied upon for a commercial transaction. ## 1. Definitions **Software** means the UWdeVST or Musique FX software, Source Code, official binary builds, documentation, presets, artwork and other materials distributed with a copy of this license, excluding Third-Party Components. **Source Code** means the human-readable source files and build instructions published by Unicorn Who Dev. **Official Binary** means an executable, VST3 plug-in, installer or archive published by Unicorn Who Dev through an official GitHub release or an official UWdeVST website link. **Private Compilation** means compiling an exact, unmodified copy of the Source Code solely for the compiler's own private use, without distributing, publishing, transferring, sublicensing or making the resulting build available to another person or entity. **Organization** means any company, association, partnership, institution, public body, non-profit body, sole-trader business or other entity, together with every parent, subsidiary and entity under common control. **Control** means direct or indirect ownership of more than fifty per cent (50%) of the voting interests, or the power to direct management. **Worldwide Consolidated Gross Revenue** means all gross revenue, before deductions and excluding VAT or equivalent sales taxes, earned worldwide by the relevant Organization during its most recently closed financial year. Revenue in another currency must be converted to euros using the annual average reference exchange rate published by the European Central Bank for that financial year. **Qualifying User** means either (a) a natural person acting outside a business or professional activity, or (b) an Organization whose Worldwide Consolidated Gross Revenue does not exceed EUR 100,000. **Professional Use** means use by, for, at the request of, or for the benefit of an Organization, whether the use is internal, client-facing, revenue-generating or otherwise connected to a trade, profession or business. ## 2. Ownership and reservation of rights The Software is licensed, not sold. Unicorn Who Dev and its licensors retain all title, copyright and other intellectual-property rights in the Software. All rights not expressly granted by this license are reserved. ## 3. Limited permissions Subject to every term of this license, Unicorn Who Dev grants you a personal, limited, non-exclusive, non-transferable and non-sublicensable permission to: 1. view and inspect the Source Code; 2. make a Private Compilation of strictly unchanged Source Code; 3. if you are a Qualifying User, install and use Official Binaries for personal, educational, evaluation, non-commercial and commercial music-production work; and 4. create and exploit music, recordings and other artistic works produced through an authorized use of an Official Binary. Those works remain yours, and this license claims no ownership in them. A Private Compilation does not authorize Professional Use by an Organization that exceeds the revenue threshold in Section 4. ## 4. EUR 100,000 commercial threshold An Organization may use Official Binaries without a paid commercial license only when its Worldwide Consolidated Gross Revenue for its most recently closed financial year is no more than EUR 100,000. The threshold applies to the whole consolidated group, including the user entity, every parent, every subsidiary and every entity under common control. Dividing use among related entities, contractors, employees or accounts does not avoid the threshold. An Organization that has not yet closed a financial year qualifies only while its good-faith annualized gross-revenue forecast does not exceed EUR 100,000. ## 5. Commercial license required above the threshold Any Professional Use by or for an Organization whose Worldwide Consolidated Gross Revenue exceeds EUR 100,000 requires a separate written and paid commercial license signed or expressly issued by Unicorn Who Dev before that use begins. Prohibited acts Except where mandatory law expressly prevents the restriction, you may not, and may not enable another person or entity to: 1. modify, adapt, translate, patch or otherwise alter the Software; 2. create, publish, use or exploit a derivative work of the Software; 3. redistribute, mirror, republish, upload, transfer, sublicense or make the Software or a Private Compilation available to anyone else; 4. operate, promote or exploit a fork outside the limited GitHub platform rights described in Section 8; 5. sell, rent, lease, monetize, repackage or resell the Software; 6. bundle, embed, integrate or incorporate the Software or any substantial portion of it into another product, service, plug-in, application, library, firmware, dataset or package; 7. remove, obscure or alter any copyright, ownership, attribution or license notice; 8. use a non-official binary for Professional Use; or 9. reverse engineer, decompile or disassemble an Official Binary, except only to the limited extent that applicable law makes such a restriction unenforceable. ## 7. Artificial-intelligence and dataset restriction Except for rights that Unicorn Who Dev has separately granted to GitHub and its Affiliates under GitHub's Terms of Service, no permission is granted to use the Software or any part of it to train, fine-tune, adapt, evaluate or improve an artificial-intelligence or machine-learning model, or to create, enrich or validate a dataset intended for such a purpose. This restriction applies to manual and automated collection. ## 8. Public GitHub repository exception When the Software is hosted in a public GitHub repository, GitHub and GitHub users receive the platform rights that Unicorn Who Dev grants through the then-applicable GitHub Terms of Service. Those platform terms may permit GitHub to host, copy, analyze and use public content and may permit users to view and fork a repository within the GitHub service. This license does not attempt to revoke or limit rights that the GitHub Terms of Service require Unicorn Who Dev to grant to GitHub, its Affiliates or GitHub users. A GitHub fork or other platform-enabled copy does not grant any additional right to modify, distribute, commercialize or otherwise exploit the Software outside those platform rights. ## 9. Third-party components JUCE and all other third-party libraries, code, fonts, samples, tools or components remain governed by their own notices and license terms. If a Third-Party Component is distributed with the Software, its license controls that component only. Nothing in this license grants rights that Unicorn Who Dev does not own. ## 10. Prospective application and prior versions Version 1.0 applies only to a Software version, release or copy that expressly includes or references this license. It does not retroactively withdraw permissions already granted under the license that accompanied an earlier release or tagged version. The license included with each release governs that release. ## 11. Termination The permissions in this license terminate automatically when you breach any term. On termination, you must stop using the affected Software and delete every copy under your control, except for copies that applicable law requires you to retain. Sections concerning ownership, prohibited acts, artificial intelligence, warranty, liability and prior versions survive termination. ## 12. No warranty and limitation of liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNICORN WHO DEV AND ITS CONTRIBUTORS OR LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, REVENUE, PROFITS, BUSINESS OR GOODWILL, ARISING FROM OR RELATED TO THE SOFTWARE OR THIS LICENSE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. Nothing in this Section excludes or limits liability that applicable law does not permit to be excluded or limited. ## 13.
