# UNICORN SOUND ENGINE / UWdeVST
## End-User Licence Agreement — Virtual Instruments and Audio Software

**Version 2.0 — 1 November 2026**

### 1. Scope, parties and related documents

This End-User Licence Agreement (EULA) governs the use of virtual instruments and audio software distributed under **Unicorn Sound Engine / UWdeVST** (the “Software”). The “Publisher” is the person or legal entity holding or being authorised to license the relevant rights, as identified in the legal notice, applicable Terms of Sale and, where applicable, the order confirmation. The “Licensee” is the individual or legal entity that lawfully obtained the Software.

This EULA governs **rights to use the Software**. Prices, taxes, payment methods, initial delivery, refunds and withdrawal rights are governed by the applicable Terms of Sale and by law. Any offer-specific restrictions must be disclosed before purchase and cannot override mandatory statutory rights.

The Software may include third-party components governed by their own terms, including free and open-source software. Any third-party licence notices supplied with the Software remain applicable to those components and are not replaced by this EULA.

### 2. Licence grant and duration

Subject to lawful acquisition and compliance with this EULA, the Publisher grants the Licensee a **non-exclusive, perpetual right to use the Software, with no mandatory subscription or paid renewal**.

The licence is granted for an indefinite term. It does not transfer ownership of the source or object code, the Software itself, protected graphics, other protected resources or trade marks. The Publisher may not terminate it merely at its own discretion; any termination is subject to Section 12 and applicable law.

The licence covers the Software actually acquired, including instruments included in a promotional order, to the extent shown by that order. It does not automatically cover separate products marketed under the same brand.

### 3. Permitted uses and scope

The Licensee may install and use the Software for its intended purpose, according to its advertised specifications and any limitations **properly disclosed before purchase**. Using the Software to compose, perform, record, produce and publish personal or professional musical or sound works is permitted within the scope of the acquired offer.

This EULA **does not specify a numerical maximum number of computers**. It does not authorise sharing the Software or a single licence between unrelated persons or separate legal entities, or creating additional licences. Any specific installation or multi-user restrictions must be clearly disclosed as offer-specific terms before purchase.

Where the Licensee is an organisation, the Software may be used only within the rights acquired by that organisation and by persons lawfully acting on its behalf. This EULA does not impose any undisclosed turnover threshold or customer-category restriction after the contract has been concluded.

### 4. Musical works and recordings created using the Software

The Publisher **claims no ownership interest or royalty** in original compositions, performances or recordings created by the Licensee through normal use of the Software. The Licensee may exploit and sell such works, subject to third-party rights and applicable law.

This permission does not authorise copying, extracting, distributing or separately reselling the Software, installers, source or object code, preset files as such, or protected audio and other resources embedded in the Software. Material obtained from third parties remains subject to its own applicable rights and licences.

### 5. Copying, distribution and prohibited acts

Except as expressly authorised by the relevant rights holder or permitted by law, the Licensee must not:

- create, transfer, sell or distribute **extra copies** of the Software or additional licences that were never lawfully acquired;
- publicly share installers, binaries or protected resources from the Software;
- grant sublicences, operate an unauthorised distribution service or claim to be an authorised distributor;
- remove or falsify intellectual-property notices in a manner that misrepresents the Software's origin or ownership;
- reproduce or adapt the Software outside the permissions granted by this EULA or mandatory legal exceptions.

**Purchasing one licence never authorises the Licensee to make and resell multiple copies.** Distributors and partners may grant distribution rights only within the authorisation they have actually received from the relevant rights holder.

### 6. Backups, examination and interoperability

Nothing in this EULA prohibits a backup copy necessary to preserve lawful use of the Software, or observation, study and testing permitted by applicable law. Decompilation indispensable to interoperability with independently developed software remains permitted **only to the extent and under the conditions prescribed by law**.

These exceptions do not authorise distributing the Software's code, commercially duplicating the Software or creating an unlawful copy of its protected expression.

### 7. Transfer and resale of an existing licence

The licence does not grant a general right to issue or commercially market new licences. Any contractual transfer or resale is subject to the applicable offer and law.

Where statutory exhaustion of the distribution right allows transfer of a copy of the Software, this EULA does not prevent that transfer. The transferring user must then cease using the transferred copy, render any retained copies unusable, and may not artificially split a single licence into separately resold usage rights.

Transferring an existing licence never creates a new or additional copy entitlement. Evidence requirements and technical transfer arrangements remain subject to applicable law. This clause does not promise a permanent transfer service or reissued download access.

### 8. Updates and product development

For **each instrument acquired through a paid order placed on the official website**, including any instrument supplied at no extra charge as part of that order's promotion, **future updates actually published and made available by the Publisher as updates to that same instrument** are included at no additional charge while they are made available for distribution.

A version number (minor or major) is not, by itself, sufficient to exclude a release from that commitment where it is genuinely published as an update to the same instrument.

This commitment **does not guarantee any number of releases, publication schedule, update frequency, specific feature or indefinite development**. A new standalone software product, separate instrument, distinct expansion or separately offered additional content is not automatically included. Product categories will not be used artificially to evade contractual commitments or mandatory conformity obligations.

For free software acquired outside a paid order, or purchases made through external distributors, additional contractual update benefits depend on the applicable offer; mandatory statutory rights are unaffected.

In all cases, the Publisher remains responsible for informing consumers of and providing **updates necessary to maintain conformity** for the legally required period, as well as respecting any applicable statutory rights when modifying digital content.

### 9. Downloads, accounts and possible discontinuation of services

The Software and the means necessary for its **agreed initial supply** must be made available in accordance with the contract and applicable statutory duties.

Beyond those duties, purchase does **not include any additional contractual promise to host indefinitely** the website, user accounts, online library, old releases or download servers. Such services may change, be interrupted or end to the extent permitted by law and subject to existing commitments.

The later unavailability of the website or a server does not, by itself, terminate the right to use lawfully obtained copies. Licensees are encouraged to retain installers, proof of purchase and licence documents. This recommendation does not relieve the Publisher of mandatory supply, conformity, warranty or update obligations.

This Section does not represent that the Software will necessarily work offline or without activation or third-party services: only the specifications actually advertised for the acquired product apply.

### 10. Compatibility, support and statutory warranties

Supported operating systems, architectures, formats, hosts, requirements and restrictions are those **advertised for the acquired version at the time of purchase**. Compatibility with all future versions of operating systems, hardware or third-party hosts is not guaranteed indefinitely, without prejudice to statutory conformity obligations.

No continuing maintenance service, indefinite support, guaranteed response time or bespoke development is included unless expressly promised elsewhere. The Publisher remains subject to mandatory legal duties, including the statutory conformity warranty where the Licensee is entitled to it.

The Software may contain defects. Nothing in this EULA removes mandatory legal remedies, repairs, refunds or warranties. No blanket exclusion of liability may defeat the essential obligation to supply the Software that was agreed upon.

### 11. External distributors, business transfers and partners

Purchasing through an external distributor does not automatically give access to the official website's download library. Additional commercial benefits reserved to the official channel, including contractual update-access arrangements, apply to external purchases only where included in the relevant offer, subject to law.

A transfer of the Publisher's business, a change of operator or cessation of business does **not automatically extinguish** validly granted rights to use lawfully acquired copies. Such events do not, in themselves, create new voluntary commitments to ongoing development, future compatibility or perpetual hosting.

Any successor who assumes legal or contractual duties remains bound by those duties. No distributor or partner may bind another party without valid authority.

### 12. Serious breach and possible termination

The perpetual licence cannot be terminated arbitrarily. In the event of a **sufficiently serious contractual breach**, such as unauthorised commercial distribution of additional copies, the Publisher may pursue remedies under applicable law, including termination where legally permitted.

Where the breach can be remedied, the Publisher will normally first provide notice identifying the breach and allow a reasonable opportunity to cure it. Formalities, remedies and consequences remain subject to applicable law. Seeking a statutory warranty remedy or challenging a contractual term does not itself justify termination.

### 13. Contract versions and existing rights

New versions of this EULA may be offered for **future acquisitions**. They do not retroactively amend existing agreements without a valid legal or contractual basis, or agreement where required.

Any additional benefit voluntarily extended to earlier licensees may be stated in a separate notice. Installing a software update does not automatically constitute consent to new contractual restrictions.

### 14. Applicable law and mandatory rights

This EULA is interpreted under French law, **without depriving consumers of mandatory protections that may apply in their country of habitual residence** or overriding mandatory jurisdiction and remedy rules.

Nothing in this EULA restricts mandatory legal warranties, supply or conformity rights, legally required updates, copyright exceptions or other non-waivable rights. If a provision is unenforceable, the remaining provisions remain effective to the extent the agreement can lawfully and meaningfully continue.

---

**Contract record:** retain this EULA alongside the applicable order, Terms of Sale and third-party licence notices. This version applies to new releases supplied with it and new acquisitions referring to it, subject to Section 13. Previously granted rights remain governed by their applicable terms.
